Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the ProStyk mobile application, website, and related services (collectively, the "Services") operated by ProStyk, Inc. ("ProStyk," "we," "our," or "us"). By downloading, installing, or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use the Services. By using the Services, you represent that you meet this requirement and that you are using the Services for lawful, professional purposes.
Your Account
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly of any unauthorized use of your account or any other security breach.
- Accounts may be associated with a company license, in which case your access may also be governed by the agreement between us and that company.
Access to the Services
Access to the Services is granted through one of the following methods:
- Free Trial. New accounts may be eligible for a 30-day free trial from account creation. Trial eligibility and status are managed through your ProStyk account, and trials may be limited to one per person or device at our discretion.
- Subscription. A recurring monthly or annual plan purchased through the Apple App Store or Google Play. Subscription purchases and billing are subject to the terms of the applicable app store, and are processed on our behalf by RevenueCat, our subscription management provider.
- Activation Code. A license code issued by a ProStyk administrator or by your employer's company license, granting access without a direct subscription purchase.
Acceptable Use
When using the Services, you agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the app.
- Copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, other accounts, or any related systems or networks.
- Use the Services to upload or transmit any content that is unlawful, infringing, or harmful to others.
- Circumvent or attempt to circumvent any access controls, activation codes, or licensing restrictions.
Intellectual Property
The Services, including all software, text, graphics, logos, and trademarks, are owned by ProStyk or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted by these Terms, no right, title, or interest in the Services is transferred to you.
Your Content
You retain ownership of the photos, videos, reports, and other content you create or upload through the Services ("Your Content"). You grant us a limited license to host, store, and process Your Content solely as necessary to provide and maintain the Services. You are responsible for ensuring you have the necessary rights to any content you upload.
Third-Party Services
The Services may allow you to connect with third-party services such as cloud storage providers or business software. Your use of those integrations is governed by the applicable third party's own terms, and we are not responsible for their acts, omissions, or content.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ProStyk AND ITS OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold ProStyk harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms, if your subscription or activation code is revoked, or if we discontinue the Services. You may stop using the Services and delete your account at any time through the app's account settings. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
Governing Law
These Terms are governed by the laws of the jurisdiction in which ProStyk, Inc. is incorporated, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with a revised Effective Date, and continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
